Industrial Machinery Corporation (“IMC”, “we”, “us” or “our”) operates this website from Ludhiana, Punjab, India. Website information is provided to help customers review machinery and submit requirements. A customer’s final commercial and technical rights and obligations are determined by the quotation, proforma invoice, purchase order acceptance, order confirmation or other written agreement issued or accepted by IMC.
Acceptance of these terms
By accessing or using this website, submitting an enquiry, requesting a quotation, adding products to the Quote List or otherwise communicating an order requirement through the website, you agree to these website terms. If you do not agree, please do not use the website.
Where a signed or accepted quotation, proforma invoice, order confirmation or written contract contains terms that differ from this page, the transaction-specific written document will prevail to the extent of that difference.
Website use
You may use this website for legitimate business purposes, including reviewing IMC machinery, technical information, product videos and submitting enquiries. You must not attempt to damage, interfere with, reverse engineer, overload, misuse or obtain unauthorized access to the website, server, accounts, database or other systems.
Product photographs, videos, drawings, logos, text, catalogues, tables, graphics and other materials on this website are owned by or licensed to IMC unless otherwise stated. They may not be reproduced, republished or commercially used without written permission.
Enquiries, quotations & orders
An enquiry, Quote List submission, email, WhatsApp message or website form does not by itself create a binding supply contract. A machinery order becomes binding only when the commercial and technical scope has been accepted in writing and any required advance/payment condition has been satisfied.
Quotations are based on the information supplied by the customer. The customer is responsible for providing correct job diameter, material grade, thread or operation standard, thread length, production target, electrical standard, drawings, samples and other application information required for machine selection.
Customer-specific machinery, tooling, dies, chasers, fixtures, electrical configurations or procured components may not be cancellable once manufacturing, procurement or customization has commenced, except where IMC agrees otherwise in writing.
Standard commercial terms
Unless the transaction-specific quotation or order document states otherwise, IMC’s standard machinery quotations may use the following commercial basis:
| Price basis | Ex-Works IMC, Ludhiana, India, unless another delivery basis is stated. |
|---|---|
| Quotation validity | Normally 2 weeks from the quotation date, unless extended or changed in writing. |
| Taxes | Applicable GST, IGST, duties, levies or other taxes are extra unless expressly included in the quotation. |
| Packing | Packing charges may be additional where packing is required; the applicable amount or percentage will be stated in the quotation. |
| Payment | Standard machinery orders may require 50% advance and the balance before dispatch, unless different payment terms are stated in writing. |
| Delivery | Typical manufacturing/delivery estimates may be around 25–30 days for applicable machines after order/payment/technical clearance, but actual lead time is governed by the accepted quotation. |
| Insurance | Transit or marine insurance is extra unless expressly included. |
| Warranty | Standard machinery warranty may be up to 12 months where stated in the quotation, subject to the exclusions in the Warranty section below. |
Product information & specifications
Website specifications, capacities, production outputs, images, videos and descriptions are intended to assist preliminary evaluation. Actual performance depends on the component, material, tooling, thread or operation, operator, electrical conditions and machine configuration.
IMC may improve or modify machinery design, components, dimensions, appearance or specifications without prior website notice, provided the agreed order scope is met. Dimensions, capacities and production figures should be confirmed in the quotation/order document before purchase.
Product videos demonstrate specific machines, jobs or configurations and should not be interpreted as a guarantee that every machine or every application will achieve identical results.
Delivery, dispatch & international orders
Delivery dates are estimates unless expressly guaranteed in writing. Lead times may be affected by technical approvals, payment, customer-supplied information, availability of bought-out components, transport, government restrictions, force majeure or other events outside reasonable control.
For export orders, the delivery term, port, freight responsibility and Incoterm (if any) will be stated in the quotation or shipping document. Unless expressly included, the buyer is responsible for import licences, permits, customs clearance, duties, local taxes and compliance requirements in the destination country.
Risk, title and delivery responsibility are governed by the accepted transaction documents and applicable delivery term.
Warranty & service
Any warranty applies only for the period and scope stated in the accepted quotation/order. Unless specifically included, warranty does not cover normal wear parts, cutting tools, threading chasers, dies, rolls, belts, consumables, damage in transit, improper electrical supply, misuse, accidents, unauthorized modifications, incorrect installation or operation outside the agreed application.
Warranty remedies may include inspection, repair, replacement of the defective covered component or another remedy agreed by IMC. Travel, accommodation, freight, customs, local labour, installation or site-service costs are not included unless the order documents expressly state otherwise.
Customer responsibilities & machine safety
Industrial machinery must be installed, operated and maintained by trained and competent personnel. The customer is responsible for safe foundations, lifting, electrical connection, earthing, guards, lubrication, operating procedures, workplace safety and compliance with local laws and standards unless a specific service is included in IMC’s scope.
The customer must not remove safety devices or use machinery beyond its confirmed technical limits. Appropriate personal protective equipment and site-specific risk controls should be used.
Customer drawings & intellectual property
When you send a drawing, sample, specification or technical file, you confirm that you are authorized to provide it and permit IMC to use it for evaluating, quoting, manufacturing and supporting the requested machinery or tooling. IMC will use reasonable care when handling non-public customer technical information received for a commercial enquiry.
Unless separately assigned in writing, IMC retains ownership of its machine designs, drawings, manufacturing know-how, software, documentation, tooling concepts and intellectual property.
Limitation of liability
To the maximum extent permitted by applicable law, IMC will not be liable for indirect, incidental, special or consequential loss, including loss of production, profit, contract, opportunity or business interruption arising from website use or a machinery transaction, except where such limitation is prohibited by law.
Nothing in these terms excludes liability that cannot lawfully be excluded or limited. Any transaction-specific liability terms contained in an accepted quotation, order confirmation or written contract will apply to that transaction.
Force majeure
IMC will not be responsible for delay or failure caused by circumstances beyond reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government action, strikes, utility failures, transport disruption, import/export restrictions or major supplier interruptions. Performance will resume as reasonably practicable after the event.
Governing law & jurisdiction
These website terms are governed by the laws of India. Unless a written transaction document provides another agreed dispute mechanism, courts having jurisdiction in Ludhiana, Punjab, India will have jurisdiction over disputes relating to these website terms or transactions with IMC, subject to applicable law.
Changes to these terms
IMC may update these terms when website functionality, business practices, legal requirements or commercial processes change. The latest version will be published on this page with the updated date.
